Our Startup Toolkits are a collection of frequently-used services for early-stage growth companies, provided on a flat fee basis. Each client can pick and choose the services it needs.
Startup Toolkits are not for every startup, but may be appropriate for your startup if the provisions you want included fall into one of a handful of options that we frequently see. They are not for startups requiring a significant amount of customized drafting, such as preferred or non-pro-rata distributions in a limited liability company agreement, or those requiring contracts with significant negotiation. Limited Liability Companies
Single Member LLC (TN or DE)
- Formation documents filed with the TN or DE secretary of state
- Single-member operating agreement
- Organizer consent

Pricing: $750 (excluding filing fees paid to Secretary of State and Register of Deeds)
Basic Multi-Member LLC Formation (TN or DE)
- Formation documents filed with the TN or DE secretary of state
- Basic multi-member operating agreement
- Incorporator consent
- Minute book
- Company EIN
- Up to 3 hours of legal counsel related to the formation of the LLC
Pricing: $1,500 (excluding filing fees paid to Secretary of State and Register of Deeds)
Enhanced Multi-Member LLC Formation (TN or DE)
The enhanced Multi-Member LLC package is ideal for companies that have more complex capital structures or that are planning to compensate key contractors and employees with equity and/or subject company owners to a vesting schedule, or are otherwise planning to issue voting and non-voting units upon formation and includes:
- All components of the basic multi-member LLC package, plus enhanced operating agreement provisions like preemptive rights, vesting provisions, and/or voting and non-voting units.
Pricing: $2,500 (excluding filing fees paid to Secretary of State and Register of Deeds)

- Charter (TN) or Certificate of Formation (DE)
- Bylaws
- Organizational Resolutions
- Shareholders’ Agreement
- Subscription Agreements
- Stock Certificates
- Form Written Consent of Stockholders and Directors
- Procurement of a taxpayer identification number
- Filing an “S corporation” election if applicable
Three hours of attorney time (two hours for single shareholder corporations) for consultation and communications (in person, email and/or phone calls). Pricing is $750 for single shareholders and $1,500 for two or more shareholders (excluding filing fees paid to Secretary of State and Register of Deeds).
