Specific Opportunities

Experienced Private Funds Attorney

We are seeking an associate with 5+ years of private fund or sophisticated private securities experience to join our Private Funds & Investment Management practice.
Requirements
  • Private fund formation experience, including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings)
  • Experience with fund raises from launch to close, including managing the entire project, interfacing with client, engaging in fund agreement and side letter negotiation, reviewing subscription documentation, and managing subscription process
  • Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements and exemptions to the Investment Company Act
  • Direct private funds experience is preferred, but open to strong corporate associates with an interest in private funds work
  • Large law firm or sophisticated boutique experience preferred
  • Qualified remote candidates are encouraged to apply

Experienced Corporate Associate Attorney

Riggs Davie PLC is seeking an attorney with 3 to 7 years of corporate and securities experience.
Requirements
  • 3+ years of experience as a corporate attorney, including experience in securities matters or mergers and acquisitions
  • Excellent analytical and interpersonal skills
  • Excellent attention to detail and proofreading skills
  • Large law firm or sophisticated boutique experience preferred
