Alexander J. Davie

Biography

Alexander J. Davie is a corporate and securities attorney in Nashville, Tennessee. Many businesses look to Alex as their outside “general counsel” for day-to-day legal needs as well as their trusted adviser on high-stakes transactions, such as capital raising, partnership buyouts and disputes, technology transactions, and mergers and acquisitions. His first goal is to provide clients with responsive service and candid and decisive legal advice for the difficult choices they often face. Alex frequently works with managers of private investment funds, such as private equity, venture capital, and hedge funds, as well as technology companies, including startups and emerging growth companies.

Private Funds
Alex’s primary focus is working with clients within the investment management industry as well as venture and angel investors on structuring private investment partnerships and offerings of securities in them. He drafts the formation documents for private funds, including hedge funds, private equity funds, venture capital funds, and real estate investment partnerships. He also counsels investment advisers on their regulatory obligations, such as initial state or SEC registration and ongoing compliance. In addition, Alex assists private fund managers in structuring transactions such as co-investment vehicles, special purpose entities, and management compensation and negotiating side letters, seed investments, and other agreements with institutional investors.


Technology Industry
Alex particularly enjoys working with companies and entrepreneurial ventures within the technology industry. As a believer in technology’s ability to enrich people’s lives and allow people to connect with each other in new ways, he is passionate about helping tech startups achieve success. Alex’s clients rely on his counsel and judgment throughout all stages of their growth. He assists startups, founders, and entrepreneurs in initial entity selection and formation, and later in negotiating and structuring capital-raising transactions, including seed rounds, convertible notes, angel rounds, and venture capital investments. He also assists tech companies with their ongoing legal needs, such as vendor and customer agreements, website terms of service, SAAS agreements, and regulatory compliance.


Mergers & Acquisitions
Through his work with finance and technology industry clients, Alex represents buyers and sellers of such businesses. He also works with finance and technology industry clients engaging in other strategic transactions, including mergers, joint ventures, and corporate and fund restructurings. Clients look to him for strategic guidance through all stages of the transaction process, from the initial letter of intent stage, through due diligence, negotiation of definitive agreements, and closing. He particularly enjoys helping clients solve complex problems that require both legal expertise as well as understanding big picture business issues and solving personality-driven challenges.
